Terms & Service

Welcome to AurA by LogixOne. These Terms of Service (“Agreement”) are a legal agreement between you (“You” or “User”) and Clearscope Solutions Pty Ltd, trading under the brand LogixOne (“LogixOne,” “AurA,” “We,” or “Us”).
This Agreement governs your access to and use of AurA by LogixOne, including its AI-powered communication platform, integrations with third-party applications, CRM features, and related services (collectively, the “Services”).


By using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.


1.0 Use of Services
1.1 Access to Services.
We grant you a non-exclusive, non-transferable, limited right to access and use the Services for your internal business purposes. You may not use the Services for any unlawful or unauthorized purpose and must comply with all applicable laws and regulations.
1.2 User Account.
You may be required to create an account to access certain features. You are responsible for maintaining the confidentiality of your account credentials and all activity under your account. We may suspend or terminate your account if we suspect misuse or breach of these Terms.
1.3 Acceptable Use.
You agree not to:

  • Use the Services to transmit unlawful, abusive, defamatory, obscene, or otherwise objectionable content.

  • Infringe the intellectual property rights of others.

  • Introduce viruses, malware, or harmful code.

  • Misrepresent your identity or affiliation.

  • Interfere with or disrupt the Services or connected networks.

1.4 Third-Party Products & Services.
The Services may integrate with or rely on third-party products, platforms, and services (“Third-Party Services”). We do not control and are not responsible or liable for:

  • The availability, performance, or reliability of any Third-Party Services.

  • Any interruption, suspension, or termination of Third-Party Services.

  • Any loss, damage, or cost resulting from your reliance on Third-Party Services.

Your use of Third-Party Services is subject to their separate terms and conditions.
2.0 Ownership and Intellectual Property
2.1 Ownership.
We retain all rights, title, and interest in and to the Services, including all associated intellectual property.
2.2 License Grant.
Subject to these Terms, we grant you a non-exclusive, non-transferable, limited license to use the Services for your internal business operations.
2.3 Restrictions.
You must not:

  • Copy, modify, or create derivative works of the Services.

  • Transfer, sublicense, lease, or resell the Services.

  • Reverse engineer or attempt to extract source code.

2.4 No Transfer of IP.
Nothing in this Agreement transfers intellectual property rights to you. All rights not expressly granted remain with us.
3.0 Fees and Payment
3.1 Fees.
You agree to pay applicable subscription fees or charges associated with your use of the Services, including taxes or duties.
3.2 Payment.
Payments for AurA subscriptions must be made through the applicable app store or payment channel specified at purchase. We may suspend or terminate access if payments are not received.
4.0 Confidentiality
4.1 Confidential Information.
Each party may have access to the other’s confidential business or technical information. Both parties agree to protect such information and use it only for purposes of fulfilling this Agreement.
4.2 Disclosure.
Neither party will disclose confidential information to third parties without consent, except where required by law.
5.0 Disclaimer of Warranties
The Services are provided “as is” without warranties of any kind, whether express or implied. We do not warrant that the Services will meet your requirements or be uninterrupted, secure, or error-free.
5.1 Third-Party Services Disclaimer.
We specifically disclaim liability for any disruption, failure, or unavailability of Third-Party Services, even where such services are necessary for the operation of AurA.
6.0 Limitation of Liability
We shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities, arising from your use of the Services.
Our total liability shall not exceed the amount paid by you for the Services in the twelve (12) months preceding the claim.
7.0 Termination
7.1 By LogixOne.
We may suspend or terminate your access to the Services at any time for breach of this Agreement or other legitimate reasons.
7.2 By User.
You may terminate this Agreement by ceasing to use the Services and deleting your account. Subscription cancellations must be made via the app store or payment channel used to purchase.
7.3 Survival.
Sections relating to intellectual property, confidentiality, limitation of liability, indemnity, fair use, and dispute resolution shall survive termination.
8.0 Indemnification
You agree to indemnify and hold harmless LogixOne, Clearscope Solutions, and their officers, employees, and agents from any claims, damages, or expenses arising from your use of the Services or breach of this Agreement.
9.0 Governing Law & Dispute Resolution
9.1 Governing Law.
This Agreement shall be governed by the laws of Victoria, Australia.
9.2 Dispute Resolution.
Any disputes shall be resolved through binding arbitration in Victoria, Australia.
10.0 Miscellaneous

  • Entire Agreement. This Agreement is the complete agreement between the parties.

  • Assignment. You may not assign this Agreement without our consent.

  • Waiver & Severability. If any provision is found unenforceable, the remaining provisions remain valid.

  • Notices. Notices may be provided electronically to your registered email.

  • Force Majeure. Neither party is liable for delays caused by events beyond reasonable control.

  • Relationship. The parties are independent contractors.

  • Export Compliance. You must comply with all export control laws.

  • Non-Solicitation. Neither party shall solicit the other’s employees during or 12 months after this Agreement.

11.0 Fair Use Policy
11.1 Purpose.
AurA is designed to provide responsive, AI-driven customer engagement and CRM services. To ensure performance and availability for all users, this Fair Use Policy applies.
11.2 Fair Usage.
You agree to use the Services in line with normal business needs. Unreasonable or excessive use is prohibited, including:

  • Excessive automated requests or message volumes.

  • Use for spam or bulk unsolicited communications.

  • Attempts to bypass quotas, usage limits, or security.

  • Use for unrelated purposes such as scraping or data harvesting.

11.3 Monitoring & Enforcement.
We may monitor usage for compliance. In case of breach, we may issue warnings, restrict access, or suspend accounts.
11.4 Adjustments to Limits.
We may introduce or update reasonable usage thresholds (e.g., API calls, concurrent sessions) and will notify Users of such changes.
